Job Description

1) Job PurposeTo be arrived at as a summation, during the course of the interview – and validated by the respondent (role holder/manager/direct report)Responsible for whole gamut Secretarial Compliance, Statutory compliances pertaining to Companies’ Act, SEBI and Stock Exchange Related Compliances. Also responsible for overseeing investor relations activities & investor grievances redressal mechanism. The incumbent also needs to co-ordinate with other departments in terms of points raised by Board and its Committees.Position also requires co-ordination with Board of Directors and ensure approval of Board wherever required as per statues / articles of the company. The incumbent is expected to closely work with CFO of the company in ensuring 100% compliance with respect to Companies Act and SEBI and ensure Secretarial Audit and conduct of AGM as per guidance of CFO & Board.Besides Secretarial compliance, the incumbent will be responsible for vetting legal documents pertaining to various departments (except certain sensitive matters relating to industrial relations & senior management). The incumbent is expected to co-ordinate with Corporate Legal Cell on this.Responsible for co-ordinating internal audits and monitoring progress on agreed action plan by following up with various auditees. 2) Job Context & Major Challenges(What are the specific aspects of the job that provide a challenge to the jobholder in the context of the Unit/Zone Context:The area of Corporate Governance has become wider and wider over the years, post passing of Companies Act 2013 bill.The incumbent need to be a process driver for whole gamut of Secretarial Works like preparation of Agenda for the Board and Committee Meetings, Organizing Board Meetings, AGM, preparation / circulation of minutes, follow up of Board related points with Unit and Function Heads, etc.The incumbent is also expected to interact with MCA, Stock exchanges and also addressing of investor grievances.Challenges:Considering the plethora of amendments taking place during last few years, the incumbent needs to keep abreast and updated on various amendments, circulars, listing agreements and other compliances.With 18,000+ shareholders and introduction of SCORES by SEBI, attending to and redressal of investors’ grievances has increased during last couple of years.The incumbent is expected to closely work with CFO and the Board to ensure compliances with respect to MCA, SEBI and Stock Exchanges.3) Principal AccountabilitiesAccountabilitySupporting ActionsStatutory compliance requirement as per Companies Act / SEBI listing agreementEnsure compliances by monitoring the checklists and also ensuring all statutory records are maintained by the Secretarial Officer / SH – Secretarial.Board Meeting and AGMCo-ordinate with CFO & Board for finalization of Agenda for Board Meeting / Audit Committee / Investors Relation Committee / ANNUAL/EXTRAORDINARY GENERAL MEETINGS / and Minutes for the said meetings.Ensure minutes are approved by the Chairman and recorded / updated in the minutes book.Arrange for preparation on Annual Report by co-ordinating with CFO and other FHs.Selection of vendor for printing and followup for printing and final dispatch.E-Voting arrangements.Organizing Board Meeting / Audit Committee/ Investors Relation Committee / Annual / Extraordinary General MeetingEnsure timely dispatch of notice / agenda to shareholders / directors, arrange for timely e-voting, ensure publishing in newspapers on time, co-ordinate with registrar and transfer agents and stock exchanges, ROC etcAddress of grievances and investor relationsMonitor resolution of shareholders / investors grievances (whether to be attended by the in house Secretarial Department or outsourced Registry). Ensure propoer compliances with regard to tickets raised in SCORES of SEBI.Secretarial Audit by practicing Company SecretaryTo plan, co-ordinate and ensure completion of Secretarial Audit and Corporate Governance Audit by Statutory auditors of the company.Legal Aspects / Other Statutory compliancesTo take up and complete legal works assigned from time to time by CFO & CEO of the company.Co-ordinate with all FHs / DHs/ CFO/CEO with regard to statutory compliance of their respective areas and aid certification by CEO & CFO to the Board.Co-ordiantion with internal auditor and follow up with auditees on agreed action plan.Co-ordianate between internal audit team and DH/FHs on audit schedule and scope.Follow up on agreed action plan with the auditees.Preparation of status report to the Board.
