JOB REQUIREMENT COMPANY SECRETARY
Position : Company Secretary
Education Qualification : CS, preferably with BCom
Professional Experience : 3 - 5 years with a mid-size company/ joint venture
Job Responsibilities
Co-ordinating meeting of the Board of Directors, its sub-committees, and shareholder (AGM)
Preparing draft agendas and minutes for the meetings of the Board, its sub-committees and Shareholders meeting
Preparing circular resolutions and related papers.
Preparing Directors Report and Annual Return
Co-ordination with directors/ shareholders regarding meeting dates, minutes etc.
Briefing management/ directors on DOP, SHA, AOA and applicable laws & regulations, as and when required
Updation of Statutory Registers and arranging proper issue of share certificates, transfer of shares etc.
Preparation, certification and filing necessary forms and other documents with the MCA/ROC i.e. statutory forms such as DIN, INC22A, DPT3, MSME1 & BEN2, DIR3KYC etc.
Preparation, certification and filing of audited accounts in the XBRL mode
Ensuring compliances related to Reserve Bank of India (RBI)/ FEMA regulations relating to FDI, like documentation for allotment/ transfer of shares, reporting thereof to RBI/ Authorised Dealer etc. within 30 days thereof as well as annual reporting to RBI.
Co-ordinating response to audit queries, if any, from Statutory Auditors with regard to the above issues.
Briefing the management in respect to regulatory requirements/ changes (Companies Act & FEMA, if applicable) that may impact its business
