Compliance with provisions of Company Law, other corporate laws including:
Compliance with provisions of the Companies Act and FEMA
Preparing notices, agendas, minutes and other documents with respect to all the Board and General Meetings.
Preparation of all statutory registers, forms, certificates etc. as required under various Acts and regulations.
Filing of returns, applications, documents, notices etc. with the Registrar of Companies
Issue of shares on preferential / rights basis to residents/ non-residents
Transfer of shares from residents to non-residents and vice-versa
Independently preparing and finalizing documentation for various corporate actions including secured borrowings, acquisitions, creation of security, etc.
Keep abreast of changing regulatory landscape on implications and compliance, the Companies Act and various corporate / FEMA related regulations.
Legal:
Reviewing and drafting of agreements for various commercial transactions
Compliance with Agreements entered into with Investors and other business partners
Keeping updated information on all legal developments in laws relating to business of the Company.
Prepare reports of the activities undertaken as part of roles and responsibilities.
General observance of laws in all functions of the Company.
Desired Skills:
Exposure of handling multiple group companies mandatory.
Knowledge in managing secretarial responsibilities of a private limited company. Legal knowledge will be an added advantage.
Manages secretarial and legal function by ensuring compliance.
Self-starter and independent accountability
