 Assistant Manager Company Secretarial & Legal

Job Description

Education Qualification: Fully qualified CS Candidates with LLB or MBA Finance.

Key Skills: Secretarial, Legal, Advisory && Compliance

Key Responsibilities:

1. Secretarial

a) Compliance under all provisions of Companies Act, 2013 and its rules,

regulations and guidelines for all group companies.

b) Timely closure of all statutory books and records at the end of the financial year

c) Statutory filing without delay ensuring correctness of data

d) Conducting general meetings, board meetings and committee meetings and

record keeping thereof

e) Timely filing of annual returns

f) Review CSR expenses and ensure compliance with minimum expenditure as per

Companies Act, 2013

g) Analysis of Related Party Transactions and ensure compliance with the limits

approved and exhausted.

h) Review financial statements to ensure adherence to Companies Act, 2013

i) Coordination with Company Secretary in Practice, members of the Board,

Committee Members, Accounts and finance department, external legal counsels,

statutory auditors and internal auditors

j) Compromises, Arrangements and Amalgamations under Companies Act, 2013

k) Due Diligence

l) Vetting of Financial Statements and auditors report

m) Annual/ Boards Report

n) Appointment, re-appointment and resignation of Statutory Auditor, Internal

Auditor and Cost Auditor

o) Appointment of Managing Director, Executive/ non-executive, Independent

Directors

p) Incorporation of new Company/ creation of new unit

q) Filing of event based forms with Registrar of Companies

2. Legal

a) Draft and vetting of legal notices, letters, contracts and agreements including

agreements for Strategic Alliance and Collaborations, administration agreements

and operational agreements for business.

b) Maintain records of all contracts/ letter/ agreements and ensure proper execution

and timely renewal

c) Documentation for Statutory registrations, licensing and renewals

d) Handling civil and criminal cases

e) Drafting and Vetting of promotional and marketing material

f) Drafting of Corporate Policies and Guidelines

g) Vetting of Operational Policies and Guidelines

h) Advisory on various legal matters and interpretation of laws

i) Handling of misbranding cases under Insecticides Act

j) Handling of legal matters and reply to Legal notices from Contractors/

departments/ authorities

k) Vetting of banking agreements and other banking documents

l) Vetting of Sanction Letters, Loan Agreements and related documents for charge

creation/ modification/ satisfaction

m) Preparation of Legal documentation for filing of Tender

3. Advisory

a) Regular updation as per amendments and notification of Corporate Laws
