Job Description

  • As the Company Secretary, you will be responsible for maintaining the companys corporate governance standards, ensuring compliance with legal and regulatory requirements, and supporting the board and senior leadership team in their decision-making processes.

Key Responsibilities:

  • Corporate Governance: Oversee the companys corporate governance framework, ensuring compliance with legal and regulatory requirements, including company law and listing rules (if applicable).
  • Board Support: Provide support to the board of directors by organizing board meetings, preparing agendas, taking minutes, and ensuring decisions are properly documented and followed up on.
  • Regulatory Filings: Prepare and file necessary documents with government bodies and regulatory authorities, including annual returns, financial statements, and other required filings.
  • Compliance Management: Advise on matters of corporate compliance, legal obligations, and risk management, ensuring the company adheres to all legal and regulatory requirements.
  • Shareholder Communication: Coordinate and manage shareholder meetings, including the preparation of notices, resolutions, and minutes. Ensure that shareholder communications are accurate and timely.
  • Legal Document Management: Maintain corporate records, legal documents, and statutory registers, ensuring they are up-to-date and compliant.
  • Policies & Procedures: Develop and maintain company policies, procedures, and internal controls to ensure compliance with relevant laws and regulations.
  • Internal Coordination: Work closely with senior leadership, finance, legal, and HR teams to align corporate governance and compliance efforts across the organization.
  • Risk Management: Assist in identifying legal and operational risks and provide advice on mitigating such risks from a corporate governance perspective.
  • Board Development: Assist with the induction, training, and performance evaluation of board members, ensuring the boards effective functioning.

Required Skills & Qualifications:

  • Experience: 3-5 years of experience in corporate governance, legal, or company secretarial roles, ideally in a [specific industry, e.g., public/private sector].
  • Education: A degree in Law, Business Administration, or a related field. A Company Secretary qualification (e.g., CS) is highly preferred.
  • Regulatory Knowledge: Strong understanding of corporate law, securities regulations, and compliance matters, including local and international legal frameworks.
  • Communication Skills: Excellent written and verbal communication skills, with the ability to communicate complex information clearly to stakeholders.
  • Attention to Detail: Strong attention to detail and the ability to manage multiple tasks and deadlines efficiently.
  • Leadership: Ability to work independently and interact effectively with board members, senior management, and external stakeholders.
  • Tech-Savvy: Familiarity with corporate governance software and tools, and proficiency in Microsoft Office Suite.

Preferred Qualifications:

  • Familiarity with global corporate governance standards and practices.
  • Experience working with boards of directors and advising senior leadership on legal and governance matters.
  • Knowledge of industry-specific regulations (if relevant).
