Location Kolkata (Rajarhat - Newtown) Type Full Time Department Law and Compliances We are seeking an experienced and dynamic Company Secretary and Compliance Officer to join our team in Kolkata. The ideal candidate will have a proven track record as a Company Secretary in a public listed company, preferably within the software sector. This role is pivotal as Web Spiders Group aims to go public over the next three years. Key Responsibilities: Statutory Filings and Compliance: Oversee and ensure timely filing of all statutory obligations, including Audited Financial Statements, Annual Returns, and GST Returns. Maintain and update statutory records in compliance with legal requirements. Coordinate with internal and external auditors to facilitate smooth audit processes. Legal Compliance and Regulatory Filings: Ensure adherence to all applicable laws, regulations, and corporate governance standards. Prepare and file necessary documents with regulatory authorities, including the Registrar of Companies and SEBI. Stay updated on legal and regulatory changes affecting the company. Corporate Governance: Advise the Board of Directors on their legal responsibilities and corporate governance practices. Organize board meetings, prepare agendas, and document minutes. Ensure transparency, accountability, and ethical behavior within the organization. Shareholder Relations: Manage communications with shareholders, including notices for annual and extraordinary general meetings. Address shareholder queries and concerns regarding corporate governance and compliance. Protect shareholder rights and provide timely information about company performance and decisions. Advisory Role in Corporate Actions: Advise management on legal implications of corporate actions such as mergers, acquisitions, or restructuring. Coordinate due diligence processes and prepare legal documentation. Ensure compliance with all legal requirements related to corporate actions. Risk Management: Identify potential legal and regulatory risks affecting the company. Advise the board on strategies to mitigate these risks and ensure appropriate compliance programs are in place. Keep the board informed about legal challenges or regulatory changes impacting the company. Coordination with External Authorities: Act as the point of contact for communication with regulatory bodies. Coordinate with external auditors to ensure compliance during audits. Address concerns raised by regulatory authorities and ensure timely responses. Qualifications and Experience: Membership with the Institute of Company Secretaries of India (ICSI). Minimum of 5 years of experience as a Company Secretary in a public listed company. Experience in the software or IT services sector is highly desirable. In-depth knowledge of corporate laws, SEBI regulations, and corporate governance standards. Proven ability to manage statutory filings and ensure timely compliance with all statutory responsibilities. Strong advisory skills in corporate actions and risk management. Excellent communication and interpersonal skills. Proficiency in coordinating with external regulatory authorities and auditors. Knowledge and experience of the IPO process or SME IPO is preferred.
