We are seeking a highly skilled and experienced Company Secretary to join our team. The ideal candidate will have expertise in managing the end-to-end Pre-IPO process, overseeing IPO listing formalities, and ensuring compliance with post-listing obligations for a listed company. This is a strategic role requiring strong legal, governance, and compliance knowledge, with a particular focus on corporate laws and SEBI regulations. Key Responsibilities Pre-IPO Readiness and Execution: Collaborate with stakeholders to prepare for an Initial Public Offering (IPO), including due diligence, prospectus drafting, and financial disclosures. Liaise with merchant bankers, legal advisors, auditors, and regulatory authorities (e.g., SEBI, Stock Exchanges) for necessary approvals. Ensure compliance with SEBI (ICDR) regulations and other statutory requirements during the IPO process. IPO Listing Process: Manage the IPO roadshow schedule and support the leadership team in investor presentations. Oversee the listing process, ensuring compliance with stock exchange norms and regulatory timelines. Handle correspondence and queries with stock exchanges and regulators during the listing phase. Post-IPO Compliance: Ensure timely filings, disclosures, and adherence to corporate governance standards under SEBI (LODR) regulations. Manage all secretarial compliance and statutory records, including Board, Committee, and General Meeting minutes. Monitor insider trading activities and maintain compliance with SEBI (PIT) regulations. General Corporate Governance: Provide advisory support to the Board of Directors on corporate laws, governance matters, and legal risk mitigation. Conduct Board and Committee meetings, ensuring adherence to Companies Act, 2013, and other relevant regulations. Oversee compliance with FEMA, RBI, and other regulatory frameworks applicable to the company. Stakeholder Management: Act as a liaison between the company, shareholders, and regulatory authorities. Address investor grievances and manage shareholder communications. Coordinate with registrars, transfer agents, and depository participants. Qualifications And Skills Mandatory Requirements: Membership with the Institute of Company Secretaries of India (ICSI). 2-5 years of relevant experience, with significant exposure to Pre-IPO, IPO listing, and listed company compliance A legal background/qualification would be a plus. Preferred Skills In-depth knowledge of SEBI (ICDR), (LODR), (PIT), and Companies Act, 2013. Strong communication, presentation, and stakeholder management skills. Hands-on experience with secretarial software and digital compliance tools. Legal acumen with the ability to interpret and apply regulatory frameworks effectively.
